For good and valuable consideration, in exchange for participating in and being filmed, photographed, or recorded at or as part of the Program, I agree as follows:
1. I give The Prudential Insurance Company of America (“Prudential”) the right to use, distribute and display my image, voice, likeness, statements and actions, and any materials based or derived from these items, and to give others, including Prudential’s vendors performing services on its behalf, the right to make such use, in any manner that Prudential chooses and in any media now known or hereinafter invented, throughout the world, for Prudential’s business purposes.
2. I agree that any and all materials produced and/or resulting from this release shall be owned exclusively by Prudential and I have no rights, title or interest in or to such materials. If I should receive any print, negative or other copy thereof, I shall not use nor authorize its use by anyone else. Prudential and its licensees are not required to compensate me or anyone else for such use, and do not have to obtain my approval nor credit me for such use.
3. I represent and warrant that (i) I am not subject to any collective bargaining organization or union that would require Prudential to pay any fees for the rights granted herein; (ii) any statements made by me are expressions of my personal experience and Prudential has the right to attribute any such statements to me; (iii) I have not given anyone else the exclusive right to use my image, likeness, voice, actions, statements or any materials based or derived from these items, so I am free to sign this release; and (iv) I am solely responsible for any government employment tax, insurance and immigration obligations that may result or arise from my participation in the Program.
4. I release Prudential, any company or person employed by or related to Prudential, and any person or company that obtains any rights from Prudential described above, from all liabilities and claims, whether known or unknown, asserted or non-asserted, that relate in any way to the rights I have given to Prudential above or my participation in the Program including, but not limited to, those arising from or related to editorial acts, copyright, defamation, misrepresentation, faulty reproductions, violation of right of publicity or invasion of privacy.
5. I shall not make or authorize any public statement concerning this release, the Program or Prudential without the prior consent written of Prudential in each instance.
6. I acknowledge and agree that I am an independent contractor and not an employee of Prudential. Nothing herein shall be construed to create any partnership, joint venture or agency relationship of any kind between the parties.
7. If I am employed by Prudential, I acknowledge and agree that my participation in the Program is not a condition of my employment.
8. I give Prudential permission to contact me in the future regarding the use of my supplied statement via email.
9. This release contains the entire understanding between the parties regarding the subject matter hereof, supersedes all prior understanding and may not be modified except by a writing signed by both parties. This release shall be construed in accordance with the laws of the State of New Jersey, without regard to any conflict of laws. I fully understand the contents of this release and that Prudential is relying on the rights that I have granted to it, and I voluntarily agree to the release’s terms. I am eighteen (18) years of age or older (or if I am under eighteen (18) years of age my legal guardian has signed below to consent to my agreement with Prudential).
I agree to the usage of electronic signature and electronic records for current and future transactions pertaining to my statements made through this website, effective on the date I click "Submit".
I understand that I have the option to print and retain paper copies of any electronic records generated and to obtain paper copies of any electronic records generated during website transactions regarding my statement(s).
I understand that to obtain paper copies of electronic records kept by Prudential regarding my statement(s), or to withdraw my consent to the usage of electronic records, I must contact Prudential at james.kuhnert@prudential.com.
